Definitions

Throughout these Terms & Conditions, the following terms have the meanings defined below:

• "LOFTI", "we", "us", "our" — refers to the company LOFTI, publisher of LatePoint Whitelabel, identified in Article 1.
• "Product" — refers to the LatePoint Whitelabel WordPress plugin, including all associated files, documentation, and updates delivered under an active license.
• "Customer", "you" — refers to any natural person or legal entity who purchases a license to use the Product.
• "License" — refers to the non-exclusive, non-transferable right to use the Product as granted under these Terms.
• "Site" — refers to a single WordPress installation on a unique domain or subdomain.
• "License period" — refers to the twelve (12) month period following the date of purchase, during which the Customer benefits from product updates and support access.
• "LatePoint" — refers to the third-party booking plugin developed and sold by LatePoint, which LatePoint Whitelabel extends. LOFTI has no affiliation with LatePoint.

Acceptance of Terms

By completing a purchase of LatePoint Whitelabel, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions in their entirety.

These Terms constitute the entire agreement between you and LOFTI with respect to the Product and supersede any prior communications, representations, or agreements.

If you do not agree to these Terms, you must not purchase or use the Product.

The Product

LatePoint Whitelabel is a WordPress plugin that extends the LatePoint booking plugin by enabling customization of the LatePoint admin interface. It allows users to apply their own branding — including logos, colors, favicons, browser tab titles, and email notifications — to the LatePoint administration panel.

The Product is delivered as a digital download immediately following payment. No physical product is shipped.

License Grant

Upon purchase, LOFTI grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Product on the number of WordPress sites corresponding to your chosen plan:

• Solo plan: 1 WordPress site (one unique domain or subdomain).
• Pro plan: Up to 3 WordPress sites.
• Agency plan: Up to 10 WordPress sites.

You may install the Product on sites belonging to your own clients, provided the total number of installations does not exceed the limit of your plan. Each plan's site count applies across all installations, regardless of whether the sites belong to you or to your clients.

This license is personal to you, the purchasing Customer. It is not transferable to any third party, and may not be sold, sublicensed, assigned, or otherwise transferred without prior written consent from LOFTI.

License Restrictions

The license granted under Article 5 is subject to the following restrictions. You must not:

• Install or activate the Product on more WordPress sites than permitted by your plan.
• Sell, resell, sublicense, rent, lease, or otherwise distribute the Product or any derivative of it to third parties.
• Remove, alter, or obscure any copyright notices, proprietary markings, or attributions contained in the Product.
• Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Product, except to the extent permitted by applicable law.
• Transfer, assign, or otherwise convey your license to another individual or entity without prior written authorization from LOFTI.
• Use the Product for any unlawful purpose or in violation of any applicable laws or regulations.

Any breach of these restrictions may result in immediate termination of your license without refund.

Pricing & Payment

All prices displayed on latepoint-extend.com are in Euros (€). Applicable taxes (including VAT, where required by law) may be added at checkout depending on your country of residence and applicable tax regulations.

Payment is processed at the time of purchase via our authorized payment provider. The Product is made available for download immediately upon successful payment confirmation.

LOFTI reserves the right to modify its prices at any time. Price changes will not affect licenses already purchased and active at the time of the change.

Promotional prices (such as introductory or time-limited offers) are valid only for the period during which they are explicitly advertised. Renewals are invoiced at the standard price applicable at the time of renewal, unless otherwise stated.

License Renewal & Expiration

Each license is valid for a period of twelve (12) months from the date of purchase.

To continue using the Product, you must renew your license before or after the expiration date by purchasing a new license period. Renewal restores full access to the Product, including the latest version, future updates, and support during the new license period.

Licenses do not renew automatically. You are solely responsible for managing the renewal of your license.

Refund Policy

Given the digital nature of the Product and the fact that it is delivered immediately upon purchase, refunds are not offered as a matter of course.

However, LOFTI will honor a refund request within 14 days of the original purchase date, solely in the following circumstance:

• The Product does not function as described in the official documentation, and the issue cannot be resolved by our support team within a reasonable timeframe.

To request a refund, you must contact LOFTI via latepoint-extend.com/contact within 14 days of purchase, providing your order reference and a detailed description of the technical issue encountered. Refund requests submitted after 14 days, or for reasons other than a verified technical malfunction, will not be considered.

LOFTI reserves the right to investigate the reported issue before approving any refund. If a refund is granted, the corresponding license will be revoked immediately.

Dissatisfaction with the Product's design, features, or compatibility with third-party themes or plugins other than LatePoint does not constitute grounds for a refund.

Updates & Support

During an active license period, the Customer is entitled to:

• All updates and new versions of the Product released during the license period.
• Access to technical support via the contact channels provided on latepoint-extend.com.

LOFTI endeavors to maintain compatibility with updates to the LatePoint plugin. In the event that a LatePoint update causes a compatibility issue with LatePoint Whitelabel, LOFTI will use reasonable efforts to release a compatibility fix in a timely manner. However, no specific timeframe is guaranteed.

Support does not cover issues arising from modifications made to the Product's code by the Customer, conflicts with third-party plugins unrelated to LatePoint, or server configuration issues outside LOFTI's control.

LOFTI reserves the right to modify, discontinue, or alter the scope of updates and support at any time, with prior notice to active license holders where reasonably practicable.

Intellectual Property

The Product, including all associated source code, files, documentation, design, and content, is the exclusive intellectual property of LOFTI and is protected by applicable copyright laws and international treaties.

These Terms do not transfer any intellectual property rights to you. You are granted only the limited license described in Article 5. All rights not expressly granted herein are reserved by LOFTI.

The name "LatePoint Whitelabel", the associated brand assets, and the content of latepoint-extend.com may not be used, reproduced, or referenced without prior written permission from LOFTI, except as permitted by applicable law.

Disclaimer & Limitation of Liability

The Product is provided "as is" and "as available", without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

LOFTI does not warrant that the Product will be uninterrupted, error-free, or free of security vulnerabilities. The Customer assumes full responsibility for their use of the Product and for the results obtained.

To the maximum extent permitted by applicable law, LOFTI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of, or inability to use, the Product — including but not limited to loss of data, loss of revenue, or loss of business — even if LOFTI has been advised of the possibility of such damages.

In any event, LOFTI's total liability to you for any claim arising out of or relating to these Terms or the Product shall not exceed the amount paid by you for the license giving rise to the claim.

Nothing in these Terms limits or excludes liability that cannot be excluded under applicable French consumer protection law.

Governing Law & Disputes

These Terms & Conditions are governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions.

In the event of a dispute arising out of or in connection with these Terms or the use of the Product, the parties agree to first attempt to resolve the matter amicably through direct contact with LOFTI via latepoint-extend.com/contact.

If an amicable resolution cannot be reached, the dispute shall be submitted to the jurisdiction of the competent French courts, as determined by the applicable rules of civil procedure.

For consumers residing in the European Union, mandatory consumer protection provisions of the law of the consumer's country of residence shall apply where they provide greater protection than French law.

Changes to These Terms

LOFTI reserves the right to modify these Terms & Conditions at any time. Updated Terms will be published on latepoint-extend.com with a revised "last updated" date.

Changes will not apply retroactively to licenses purchased before the date of change. Continued use of the Product after the effective date of any modification constitutes your acceptance of the new Terms for future purchases and renewals.

We encourage you to review these Terms periodically.
